Default ProLightWeb Contract Clauses

Here are our clauses made avaliable for our clients and web-designers to see. This clauses need to be included and are applicable to any and all ProLightWeb powered websites. If you are one of our WebDesigners, please make sure to include these vital clauses in your client's contract. Upon signing of the contracts make sure to have both you, and the client initial the clauses to demonstrate they have been read.

ProLightWeb Copyright.

With the exception of anything which in whole or part, a portion of the ProLightWeb software, the client will be transferred the copyright of the materials, including the text or graphics of each page upon receipt of final payment.

Files that are part of the ProLightWeb software and are modified to fit the client’s needs remain property of ProLightWeb. The client is not in any way entitled, or will ever be allowed access of any kind to said files.

ProLightWeb’s copyright is Non Transferrable; a website created with ProLightWeb may not be moved to another server without a written notice and an additional payment of $975.00 which is required in order to render the ProLightWeb software encrypted, and only valid onto the new destination server.

Shall such encrypted code be moved to a different server without authorization, the website and all of its contents (including any and all client files on the server) will automatically be deleted and removed by the software, and the client will be liable to pay a $10,000.00 USD fine to ProLightWeb in order to obtain back up files.

A link to ProLightWeb’s Website and its logo will be placed in the footer of every page of the website.

This Agreement.

This agreement constitutes the sole agreement between ProLightWeb and the Client regarding this Website Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client, Wen Designer, and ProLightWeb.

The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business.

This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
